Terms & Conditions
Effective Date: 20th April ,2025
1. Definitions
- “Client” refers to any individual or entity that purchases or uses our Services.
- “Services” means all educational consulting, tutoring sessions, digital deliverables, virtual meetings, code artifacts, and related offerings provided by Teacher and Task.
- “Deliverables” includes all materials, presentations, code repositories, documents, and recordings furnished under the Services.
- “Handover” denotes the date and time when Deliverables are deemed delivered and accessible to the Client.
2. Scope of Services
Teacher and Task agrees to perform the Services described in a mutually agreed Proposal or Statement of Work. The Services may include, but are not limited to:
- Live virtual lessons via Zoom, Google Meet, or Microsoft Teams
- Recorded tutorials and training modules
- Customized assignments, projects, and code reviews
- Provision of digital resources, slide decks, and reference materials
Any modifications or additions to the agreed scope must be documented in writing and approved by both parties.
3. Fees & Payment
All fees for Services are specified in the Proposal and invoiced in advance or as milestones are achieved. Payment terms are:
- Due Date: Within 7 days of invoice receipt unless otherwise agreed.
- Late Payments: Interest of 1.5% per month on outstanding balances.
- Methods: Credit card, bank transfer, or online gateway as specified.
Failure to pay may result in suspension of Services until payment is made in full.
4. Client Obligations
To ensure timely delivery, the Client must:
- Provide accurate information, access to systems, and resources required to perform the Services.
- Review Deliverables promptly and furnish feedback within 15 days of Handover.
- Cooperate with scheduling and rescheduling of virtual sessions in a timely manner.
Delays in providing feedback or required inputs may extend project timelines.
5. Intellectual Property
All original materials and methodologies developed by Teacher and Task are owned by us until payment is received in full. Upon full payment, ownership of the final Deliverables transfers to the Client, excluding any underlying frameworks, templates, or third‑party components, which remain our property or that of the licensor.
The Client is granted a non‑exclusive, perpetual license to use the underlying tools provided they are not redistributed or resold.
6. Confidentiality
Each party agrees to maintain the confidentiality of non‑public information disclosed during the engagement. Confidential Information includes business plans, technical data, customer lists, and pricing. This obligation survives termination of the Agreement.
7. Cancellation & Refund Policy
Cancellation terms are detailed in our Cancellation & Refunds page. In summary:
- Clients have 24 hours to cancel digital service orders for a full refund.
- No refunds for virtual sessions not canceled at least 12 hours in advance.
- Physical materials are subject to a 7‑day return policy; see Shipping Policy.
8. Shipping & Delivery
Digital Deliverables are sent via email, shared drive links, or private GitHub repositories. Physical materials, if any, are governed by our Shipping Policy.
9. Limitation of Liability
Except for gross negligence or willful misconduct, our total liability for any claim arising from the Services shall not exceed the fees paid by the Client for the specific Services at issue.
10. Governing Law & Dispute Resolution
These Terms are governed by the laws of Bangalore, India. All disputes shall be resolved exclusively by the courts of Bangalore.
11. Changes to These Terms
We may update these Terms from time to time. The revised date will be displayed at the top. Continued use of our Services constitutes acceptance of the updated Terms.
